General Terms and Conditions of Sale

Between: Simpler Page, a micro-enterprise registered with the French Trade and Companies Register (RCS) under number 988404943, with its registered office located at 2 rue du Champ de l'Alouette 75013 Paris, represented by Simpler Page (hereinafter the “Provider”), And: Any natural or legal person wishing to use the website generation and hosting service offered by the Provider (hereinafter the “Client”).

1. Purpose

These GTC define the rights and obligations of the Provider and the Client in connection with the use of the SaaS service for creating, hosting, and managing websites.

2. Service description

The Provider offers an online platform enabling: •⁠ ⁠automated creation of websites; •⁠ ⁠hosting of generated websites; •⁠ ⁠access to management and customization tools.

The service is available by subscription, subject to these GTC.

3. Access to the service

To access the service, the Client must create an account by providing accurate and complete information. The Client is solely responsible for keeping their credentials confidential and for any activity carried out under their account.

4. Financial terms

4.1 Price

Prices are indicated in euros, excluding taxes (or including taxes, as applicable). The Provider reserves the right to change prices, subject to 30 days’ prior notice notified to the Client by email.

4.2 Subscription

The service is offered as a monthly or annual subscription. Payment is due in advance.

4.3 Non-payment

In the event of non-payment when due, the Provider reserves the right to suspend access to the service after sending an email reminder. If payment is not regularized within 15 days following this reminder, the Provider may terminate the contract without compensation.

5. Term and termination

5.1 Term

The contract is entered into for the duration of the subscription chosen by the Client.

5.2 Termination

The Client may terminate their subscription at any time via their user account area. Termination takes effect at the end of the current subscription period. No refund is due in the event of early termination, except in the event of a proven failure by the Provider to meet its service level obligations (SLA).

6. Right of withdrawal (individual consumers)

In accordance with Article L. 221-18 of the French Consumer Code, the Client has 14 days to exercise their right of withdrawal, starting from the conclusion of the contract. This right is forfeited as soon as the Client has generated and published a website via the platform, or from the first day of actual use of the service.

7. Client obligations

The Client undertakes to: •⁠ ⁠not use the service for illegal purposes or purposes contrary to public order; •⁠ ⁠not host unlawful content (defamation, infringement, incitement to hatred, etc.); •⁠ ⁠respect third parties’ intellectual property rights; •⁠ ⁠not attempt to bypass the platform’s security measures.

The Client is solely responsible for the content published on their website.

8. Liability

8.1 Provider liability

The Provider undertakes to provide the service with due care and in accordance with professional standards. Its liability is limited to direct and foreseeable damages, excluding indirect damages (loss of revenue, loss of data, etc.), except in the event of proven gross negligence or willful misconduct.

8.2 Client liability

The Client undertakes to indemnify the Provider against any claim, loss, or damage resulting from a breach of these GTC or applicable law.

9. Service level (SLA)

The Provider undertakes to provide a reasonable level of service, but does not guarantee 100% availability. Interruptions for maintenance, updates, or causes beyond the Provider’s control are not considered SLA breaches.

In the event of continuous unavailability exceeding 24 hours attributable to the Provider, the Client may request compensation proportionate to the duration of the unavailability, up to 20% of the monthly subscription amount. This compensation is exclusive of any other remedy.

10. Refund

No refund is granted in the event of early termination, unless the Provider fails to meet its service level (SLA) commitments as defined in Article 9. Refund requests must be justified and submitted in writing within 30 days following the incident.

11. Data export

The Client may, at any time and free of charge, export their website content as a PDF file via their user account area.

Exporting the complete source code of the website is offered as a paid option (€100 excl. VAT). This service is subject to the Provider’s prior acceptance and grants the Client a personal, non-exclusive license, prohibited from redistribution, resale, or use for any project other than the one hosted on the platform. Any modification of the source code is prohibited, unless the Provider gives written consent.

12. Intellectual property

12.1 Platform

The Provider retains all intellectual property rights in the platform, its features, its algorithms, and its templates.

12.2 Client content

The Client remains the owner of the content they publish on their website.

12.3 Generated websites

The Client has a non-exclusive right of use over the generated website for the duration of the subscription. This right does not cover the technical elements specific to the platform, which remain the Provider’s exclusive property.

13. Data reversibility

In the event of termination, the Client may retrieve their data for a period of 30 days. After this period, the data may be permanently deleted.

14. Technical support

The Provider offers technical support according to the terms described on the website. Support is provided during business hours, Monday to Friday.

15. Amendment of the GTC

The Provider reserves the right to amend these GTC. Amendments will be notified to the Client by email at least 30 days before they take effect. In the event of disagreement, the Client may terminate their subscription free of charge.

16. Force majeure

The Provider shall not be held liable for failure to perform its obligations due to a force majeure event (natural disaster, strike, major network outage, etc.).

17. Personal data protection

Personal data is processed in accordance with the [Provider’s privacy policy] and the GDPR. The Client has rights of access, rectification, and deletion of their data.

18. Governing law and disputes

These GTC are governed by French law. In the event of a dispute, the competent courts shall be those within the jurisdiction of the Provider’s registered office, notwithstanding multiple defendants or third-party proceedings.
